About These Terms
These Terms and Conditions ("Terms") govern access to and use of the Cuply website, directory, membership services, café profile pages, content management system and associated services ("Services").
By creating an account, commencing a free trial, purchasing a membership, creating or claiming a business listing, uploading content or otherwise using the Services, you agree to be bound by these Terms.
If you are creating an account or membership on behalf of a business, company, partnership or other organisation, you confirm that you have authority to accept these Terms on its behalf.
If you do not agree with these Terms, you must not register for or use the Services. These Terms constitute a legally binding agreement.
About Cuply
Cuply is an Australian online café and coffee shop directory and digital business platform designed to help cafés, coffee shops and other eligible businesses establish and manage an online presence.
Cuply may provide participating businesses with a dedicated webpage through the Cuply platform where they may display information about their business, including photographs, menus, opening hours, contact information, specials, services, facilities and other relevant information.
Cuply also provides consumers with a directory through which they can discover participating businesses.
Cuply is not the owner or operator of businesses listed on the platform and does not provide the food, beverages or other products and services offered by participating businesses.
Eligibility & Accounts
Eligibility
Cuply membership is intended primarily for legitimate cafés, coffee shops and other businesses considered suitable for inclusion on the Cuply platform.
Cuply reserves the right to determine whether a business is eligible to be listed. Cuply may refuse, suspend or remove a listing that it reasonably considers inappropriate, misleading, fraudulent, unlawful, offensive, harmful to the Cuply brand or inconsistent with the purpose of the platform. Members must provide accurate and current information when registering.
Member Accounts
Members may be required to create an account to access certain features of Cuply. Members are responsible for:
- maintaining the confidentiality and security of their login details;
- all activity undertaken through their account;
- ensuring their account information remains accurate;
- preventing unauthorised access to their account; and
- notifying Cuply promptly if they believe their account has been compromised.
Cuply is not responsible for loss resulting from a member failing to appropriately secure their account, except to the extent liability cannot legally be excluded.
Memberships & Subscriptions
90-Day Free Trial
Eligible new Cuply members receive a 90-day free trial commencing from the date their membership is activated. No monthly membership fee will be charged during the applicable 90-day free trial period.
Unless the member cancels their membership before the end of the free trial, the membership will automatically continue as a paid monthly membership at the then-applicable membership price. At the date of these Terms, the membership price following the free trial is $29 per month including GST.
Members are responsible for cancelling before the trial expires if they do not wish to continue with a paid membership. Cuply is not required to provide an additional free trial to a business or member that has previously received a Cuply free trial.
Monthly Membership & Automatic Renewal
Following the 90-day free trial, membership will automatically continue on a month-to-month basis unless cancelled. The current membership fee is $29 per month including GST. Membership fees will be charged using the payment method associated with the member's account.
By allowing the membership to continue beyond the free trial, the member authorises Cuply or its payment provider to charge the applicable monthly membership fee to the payment method provided. The membership will continue renewing monthly until cancelled.
Cancellation & Refunds
Members may cancel their Cuply membership at any time online through the cancellation functionality provided within their account or member area. There is no fixed-term membership commitment unless expressly agreed separately in writing. Cancellation prevents future monthly membership renewals.
Unless otherwise required by law, cancelling a membership does not entitle the member to a refund or partial refund for a membership period that has already commenced. Cuply does not provide refunds or credits for change of mind, unused membership time, failure to use the Services, partial months, cancellation after a payment has been processed, dissatisfaction arising solely from a lack of enquiries/customers, failure to keep listing updated, or failure to cancel before a renewal date.
Failed Payments & Price Changes
If a membership payment is declined, Cuply may attempt to process the payment again and may suspend access to paid membership features until outstanding amounts are paid. Cuply may change its membership pricing from time to time. Where a price change affects an existing paid member, Cuply will provide reasonable notice before the new price applies.
Business Profile & Directory
Business Profile Pages
Cuply may provide members with their own dedicated business profile or webpage hosted within the Cuply platform. Depending on the features available, members may be able to display information including business name, description, logo, photographs, menus, opening hours, address, and more.
Directory Listings & No Guarantee of Results
Cuply operates a directory intended to help users discover cafés, coffee shops and other participating businesses. Cuply does not guarantee where a particular business will appear in search results, any particular search ranking, or a specific number of page views, customer enquiries, bookings, sales, or revenue.
Membership does not guarantee that a business will receive additional customers or social media followers. Members remain responsible for operating, promoting and managing their own businesses.
Business Responsibility & Food/Allergen Info
Each listed business is independently owned and operated. The business is solely responsible for its products and services, including food and beverage quality, hygiene, pricing, licences, and compliance with applicable laws. Cuply does not supervise the day-to-day operations of listed businesses.
Any information concerning vegan, vegetarian, gluten-free, dairy-free, nut-free, allergen-friendly or other dietary options is supplied by the participating business. Consumers should confirm dietary and allergen requirements directly with the relevant business before ordering. Cuply does not independently verify the ingredients or allergen procedures of listed businesses.
Member Content
Member-Managed Content & Content Members May Upload
Cuply is designed to allow members to manage and update their own business information. Members are responsible for ensuring information appearing on their profile is accurate, lawful, current and not misleading.
Members may upload lawful business-related content relevant to their business. Content must not be illegal, fraudulent, infringe copyright, violate privacy, contain defamatory material, malware, or promote unlawful activity. Cuply reserves the right to remove or restrict content that breaches these Terms.
Rights to Uploaded Content & Third-Party Images
Members retain any intellectual property rights they lawfully hold in content they upload. By uploading content, the member grants Cuply a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, resize, format, adapt, display, publish and communicate that content for operating and promoting the Cuply platform.
Members must not upload photographs, videos, logos, or other material unless they own that material or have permission to use it. Cuply is not responsible for intellectual property infringements caused by content supplied or uploaded by members.
Intellectual Property
Cuply Intellectual Property
The Cuply name, logo, branding, platform, website design, software, systems, databases, templates, page structures, graphics and other material created by or for Cuply remain the property of Cuply or its applicable licensors.
Membership does not give a member ownership of the Cuply platform, software, website infrastructure or Cuply branding. Members must not copy, reproduce, reverse engineer, scrape, commercially exploit or create derivative products from the Cuply platform except with Cuply's written permission or where permitted by law.
Reviews & Links
Customer Reviews
Cuply may allow customers to submit ratings, reviews, comments or other feedback. Reviews represent the opinions of the individuals who submit them and do not necessarily represent the views of Cuply.
Cuply may moderate, reject or remove reviews where it reasonably believes they are fraudulent, spam, abusive, discriminatory, defamatory, unrelated to a genuine customer experience, or otherwise inappropriate. Cuply does not guarantee that every review will be published or remain published.
External Links
Cuply business pages may contain links to third-party websites, social media services, mapping services, booking platforms or other external services. Cuply does not control these external services and is not responsible for their content, availability, privacy practices, security or operation. Users access third-party services at their own discretion.
Platform Availability & Changes
Platform Availability & Changes to Features
Cuply aims to provide a reliable service but does not guarantee uninterrupted or error-free access. The Services may occasionally be unavailable because of maintenance, software updates, hosting issues, internet outages, or technical faults.
Cuply is an evolving platform. Features may be added, changed, replaced or discontinued as the Services develop. Cuply does not guarantee that every feature available at the time a member joins will remain permanently unchanged.
Suspension & Termination
Suspension or Termination by Cuply
Cuply may suspend or terminate an account or listing where a member:
- materially breaches these Terms;
- fails to pay applicable fees;
- provides fraudulent information or misuses the platform;
- uploads unlawful material or infringes another person's intellectual property;
- engages in conduct reasonably likely to cause significant harm to Cuply, its users or other members.
Effect of Cancellation or Termination
When membership ends, Cuply may disable paid member functionality and remove or deactivate the business profile from public display. Cuply may retain information where reasonably necessary for legal, accounting, fraud prevention, backup or regulatory purposes.
Liability & Indemnity
Member Indemnity & Limitation of Liability
To the extent permitted by law, a member agrees to indemnify Cuply against reasonable losses, claims, liabilities, damages or expenses arising directly from unlawful content uploaded by that member, infringement of third-party intellectual property rights, materially false or misleading business information, or the member's material breach of these Terms.
To the maximum extent permitted by law, Cuply is not liable for indirect, incidental or consequential loss arising solely from the use or inability to use the Services, including loss of anticipated business, revenue, profits or opportunities.
Nothing in these Terms excludes, restricts or modifies rights or remedies available under the Australian Consumer Law that cannot legally be excluded, restricted or modified.
Privacy & Security
Privacy & Payment Processing
Cuply may collect and process personal information necessary to operate the platform, administer memberships, communicate with users, process payments, maintain security and improve the Services. Personal information will be handled in accordance with Cuply's applicable Privacy Policy.
Cuply may use third-party payment providers to process membership payments. Cuply may not directly store complete payment card details where those details are handled securely by a third-party payment processor.
Prohibited Use & Security
Users must not attempt to gain unauthorised access to Cuply systems, interfere with platform security, introduce viruses, scrape or harvest information, create fraudulent accounts, impersonate businesses, use Cuply to distribute spam, or use the platform for illegal activity.
Cuply will take reasonable measures to protect its systems and information. However, no online service can guarantee absolute security. Members are responsible for using secure passwords and taking reasonable precautions to protect their own devices and accounts.
Disputes & Governing Law
Complaints and Disputes
If a member has a complaint regarding Cuply or their membership, they should first contact Cuply so that the issue can be investigated. Cuply will endeavour to address legitimate complaints within a reasonable period.
Changes to These Terms & Entire Agreement
Cuply may amend these Terms from time to time to reflect changes to the platform, membership structure, legal requirements or business operations. The latest version may be published on the Cuply website. Continued use of the Services after an applicable change takes effect constitutes acceptance of the updated Terms.
These Terms, together with any applicable Privacy Policy and any additional written terms expressly agreed between Cuply and a member, constitute the entire agreement governing the member's use of the Services.
Governing Law
These Terms are governed by the laws applicable in Tasmania, Australia, and applicable Commonwealth laws of Australia. The parties submit to the jurisdiction of the courts and tribunals having jurisdiction in Tasmania, subject to any rights a consumer may have to bring proceedings elsewhere under applicable law.
